Brian D. Grubb  |  Partner

Brian D. Grubb is a partner at the firm and focuses his practice in the areas of construction and real estate development, business transactions, governmental relations, and healthcare matters.  Brian assists clients with all aspects of project development including deal structuring, negotiations, financing, risk management, and general business advice and counsel.  He brings with him significant experience with comprehensive coordination and management of complex construction projects, mergers and acquisitions, state and federal procurement regulations, and small/local/women/disadvantaged business enterprise matters.

Prior to joining Riess LeMieux, Brian was the managing member of a regional law firm, counsel for a regional healthcare system, and president of a program/project management firm.

REPRESENTATIVE MATTERS

  • Assist clients with negotiations, comprehensive coordination and management of complex construction and real estate development projects in the commercial, healthcare, industrial, hospitality, entertainment, education, and transportation industries.
  • Management of all aspects of development, procurements, land acquisitions, zoning ordinances and variances, contracts, donations, general contractors, design professionals, government and regulatory approvals and equipment purchasing.
  • Management of compliance with a myriad of complex program requirements for multiple state and federal funding sources and grants including but not limited to Federal Emergency Management Association (FEMA), Community Development Block Grant (CDBG), State Capital Outlay, state and federal new markets tax credits, USDA, and HUD programs.
  • Administration and oversight of budgets and reimbursement processes and compliance.
  • Substantial experience with Louisiana Public Bid Laws and administration of public procurements.
  • Prepare, negotiate and assist with multi-million dollar transactions, mergers and acquisitions, non-profit and private sales and acquisitions, leases, lease-backs, subordination and non-disturbance agreements, construction management contracts, commercial lease agreements, professional services agreements, and corporate governance documents.
  • Assist clients with the negotiation, purchase and implementation of hardware, software and comprehensive technology systems and networks.
  • Assist in the formation of business entities, negotiation and preparation of joint ventures, cooperative endeavor agreements, public-private partnerships, and employment and independent contractor agreements.
  • Prosecute and defend trademark oppositions/applications before the U.S. TTAB and federal courts, draft and research trademark applications and marks, register trademarks and copyrights with government and foreign agencies, draft opinion of counsel letters and mutual consent agreements.

CONSTRUCTION AND REAL ESTATE DEVELOPMENT REPRESENTATION

  • Represented general contract in the public bid dispute, negotiations, subcontractor contracts, procurements, DBE compliance, and administration of $1.3B aviation project utilizing CMAR as the delivery model and financing by FAA and State Capital Outlay grants and various other sources.
  • Represented general contractor in negotiations, subcontractor contracts, procurements, and DBE compliance of $150,000,000 aviation project utilizing CMAR as the delivery model and financing by FAA and State Capital Outlay grants, and various other sources.
  • Represented public owner in the financing, procurement, construction, and development of a $30,000,000 new hospital and medical office building utilizing CMAR as the delivery model, and FFE acquisition, with USDA financing and State Capital Outlay funds.
  • Represented public owner in the financing, procurement, construction, and development of a $32,000,000 new hospital, medical office building utilizing CMAR as the delivery model, and FFE acquisition, with USDA financing, State Capital Outlay, and public funds.
